**Influencer Membership Agreement**

This Influencer Membership Agreement governs your participation in the LinkMonetize network. By clicking “OK” or a similar affirmation, you agree to the terms of this Agreement, effective from the date of your acknowledgment. Please print a copy of this Agreement for your records using your browser’s print function.

**Important:** If you do not agree to this Agreement or the associated commission terms, you should not participate. This Agreement includes supplemental appendices (1 to 4) which should be reviewed carefully.

This Influencer Membership Agreement is between you (“you”) and LinkMonetize, a limited liability company organized under the laws of Delaware, United States of America. However, if your business is headquartered in, or you reside in:

1. The European Economic Area or the Swiss Economic Zone, this Agreement is between you and LinkMonetize Interaction INC., under the jurisdiction of Internet Marketing Europe Limited, a limited liability company.

2. Australia, this Agreement is between you and LinkMonetize and applies in accordance with Australian law.

3. Any of the following countries: China, Indonesia, Hong Kong, Japan, India, South Korea, Malaysia, the Philippines, Pakistan, Singapore, Taiwan, Thailand, or Vietnam, this Agreement is between you and LinkMonetize Australia, and applies in accordance with relevant local laws.

4. Brazil, this Agreement is between you and LinkMonetize, organized as a limited liability company under Brazilian law.

If you have registered or accepted the Agreement on behalf of a company, it is deemed to have been accepted on behalf of that company.

This Agreement covers the relationship between LinkMonetize and influencers, and other participants, including adherence to specific payment policies such as the Payment Policy applicable to the Brazilian region or the network (“Network Policy”). Network Policies can be accessed via the relevant links provided by LinkMonetize.

**1. JOINING THE NETWORK**

**1.1 Registration**
To participate in the LinkMonetize network, you must provide accurate and complete registration information. If this information changes, it must be updated immediately.

**1.2 Accurate Registration Information**
LinkMonetize reserves the right to verify the accuracy of your registration information at any time. If the information is found to be misleading or inaccurate, LinkMonetize may restrict or deny your account access, suspend commissions, and take other appropriate actions.

**1.3 Participation Requirements**
You must be at least 18 years old and have the necessary equipment and internet access to participate in the network.

**1.4 Use of the Internet**
If you are registered as an influencer, you acknowledge that LinkMonetize provides its network services free of charge to facilitate business transactions. You agree to use the network exclusively for promoting your business and not as a consumer.

**2. DEFINITIONS**

**2.1** The following terms are defined as follows:

– **Advertiser:** The party that owns and manages a website or other digital property to obtain customers or other engagements through the internet.
– **Content:** Information, data, documents, text, software, sound, music, photographs, graphics, videos, and other forms of media.
– **Corporate Affiliate:** An entity controlled by or under the same control as another, with “control” defined as the direct or indirect power to manage or influence policies.
– **End-User:** The consumer or potential customer interacting with the network.
– **Engagement:** Any contract or agreement with the LinkMonetize network or any related activities, including tracking online marketing activities.
– **Entity:** A legal person, company, or other organization recognized by law.
– **Intellectual Property Rights:** Rights related to patents, trademarks, copyrights, and other intellectual property.
– **Link:** Any code, script, or technique that establishes a connection between digital content or entities.
– **Network:** The influencer marketing network operated by LinkMonetize.
– **Person:** Broadly construed to include any natural person or entity.
– **Prohibited Activity:** Activities that are illegal or against LinkMonetize’s policies, such as harassment, discrimination, fraud, or intellectual property infringement.
– **Qualifying Link:** A link provided by or authorized by LinkMonetize for tracking and reporting online engagements.
– **Site:** Websites, data files, or other digital assets related to or connected with LinkMonetize’s network.
– **Tracked Activity:** Any outcome resulting from actions tracked by LinkMonetize, such as clicks, sales, or registrations.
– **Web/Internet/Online:** Refers to the global computer networks, including the World Wide Web.

**3. PARTICIPATION**

**3.1 Participation**
You may use the LinkMonetize network voluntarily and can terminate participation at any time. LinkMonetize reserves the right to accept or reject applications for network participation.

**3.2 Not a Supplier, etc.**
You should not interpret LinkMonetize as a supplier or dealer. Participation in the network does not require the purchase of any goods or services.

**3.3 Prohibited Activities**
You are prohibited from engaging in any activity that violates this Agreement or LinkMonetize’s policies.

**4. QUALIFYING LINKS**

**4.1 Use of Qualifying Links**
You may only use qualifying links provided by LinkMonetize in their original form.

**4.2 Valid Referrals Only**
Qualifying links must be used to generate genuine engagement. Artificial methods to manipulate engagement results are prohibited.

**4.3 Final and Binding Determinations**
LinkMonetize’s determination of whether a tracked activity qualifies is final and binding.

**4.4 Distribution of Qualifying Links**
You agree to cooperate with LinkMonetize’s requests concerning the placement, distribution, or removal of qualifying links.

**4.5 No Modification of Qualifying Links**
You may not modify, block, or interfere with the content of qualifying links without express permission from LinkMonetize.

**4.6 Termination of Qualifying Link**
LinkMonetize or relevant advertisers may terminate any qualifying links at any time. Upon termination, you must remove the link from your digital properties.

**4.7 No Modification of Content**
You may not alter any content provided by advertisers without their express permission.

**4.8 Discontinuing Use of Qualifying Links**
You may discontinue using qualifying links at any time by removing them from your site, but you will remain bound by the terms of this Agreement.
